Affiliate Program Terms & Conditions

This Affiliate Program Agreement (the “Agreement”) is entered into between Southern Industries Home Improvement (“SIHI,” “we,” or “us”) and the individual or entity enrolling as an affiliate (“Affiliate,” “you,” or “your”). By submitting the affiliate signup form, you acknowledge that you have read, understood, and agree to be bound by the terms set forth below.

1. The Affiliate Relationship

The relationship between SIHI and Affiliate is that of independent contracting parties. Nothing in this Agreement creates a partnership, joint venture, employment, agency, or franchise relationship. Affiliate has no authority to bind SIHI, make representations or warranties on its behalf, or incur obligations of any kind in its name.

2. Referrals

Affiliate may refer prospective customers (“Referrals”) to SIHI by directing them to Affiliate’s personal referral link, QR code, or marketing materials provided through the affiliate portal. A Referral is attributed to Affiliate only when the prospective customer is recorded in SIHI’s Salesforce system as originating from Affiliate’s unique referral identifier. SIHI is the sole arbiter of whether attribution is properly established.

3. Referral Fee — Eligibility and Calculation

Affiliate becomes eligible for a referral fee only after ALL of the following conditions are met:

  1. The Referral results in a contracted sale with SIHI;
  2. The corresponding job is marked Complete & Paid in Full (Complete & PIF) in SIHI’s Salesforce system;
  3. The job is reviewed and closed by SIHI’s accounting department; and
  4. No chargeback, cancellation, refund request, dispute, or warranty claim remains open against the job.

The referral fee is calculated at five percent (5%) of the final Sale Amount as recorded on the Salesforce Referrals record, exclusive of any taxes, financing fees, third-party charges, or post-sale change orders not invoiced through SIHI. Calculation is performed automatically by SIHI’s Salesforce formula fields; the amounts displayed in the affiliate portal are derived from those fields.

4. Payment Terms

Eligible referral fees are paid on SIHI’s regular accounting cycle, typically within thirty (30) days following accounting closure of the underlying job. Payment is made to the legal name and contact information on file in the affiliate’s portal account. Affiliate is solely responsible for the accuracy of that information and for any taxes owed on referral income. SIHI may withhold or recoup payments to offset chargebacks, cancellations, or amounts owed to SIHI under this Agreement.

5. Disqualifying Conduct

The following events disqualify a Referral from generating a fee, in addition to the conditions in Section 3:

  • The Referral is an employee, contractor, or immediate family member of an SIHI employee or contractor without prior written approval;
  • The Referral was already an active SIHI prospect, customer, or pending estimate at the time of submission;
  • The Referral is generated through paid search bidding on SIHI trademarks, deceptive advertising, spam, or any practice that violates applicable law or platform terms;
  • Affiliate has materially breached this Agreement.

6. Marketing Conduct

Affiliate may share the referral link, QR code, and marketing materials supplied by SIHI through the portal. Affiliate must not:

  • Modify SIHI logos, photography, trademarks, or copy without written approval;
  • Make representations about products, warranties, pricing, or financing terms beyond what is published by SIHI;
  • Use SIHI trademarks in domain names, social handles, or paid-search keyword bids without written approval;
  • Engage in any conduct that could reasonably damage the reputation or goodwill of SIHI.

7. Introducing Employee Fee

Where an SIHI employee is identified at signup as the “introducing employee” for Affiliate, SIHI may, at its sole discretion, pay that employee a two percent (2%) finder’s fee on eligible referrals generated by Affiliate, subject to the same eligibility conditions in Section 3. The introducing-employee fee is paid in addition to Affiliate’s 5% and does not reduce Affiliate’s fee.

8. Data & Privacy

Affiliate is responsible for obtaining any consent required under applicable law before sharing a prospective customer’s contact information with SIHI. SIHI will process referral data in accordance with its Privacy Policy. Affiliate must not retain prospective customer information beyond what is necessary to make the referral.

9. Confidentiality

Affiliate will treat as confidential any non-public information disclosed by SIHI, including pricing, customer lists, internal performance data, and the structure of SIHI’s referral compensation arrangements with other affiliates or employees.

10. Termination

Either party may terminate this Agreement at any time, with or without cause, by written notice (including notice through the affiliate portal or by email to the address on file). Upon termination: (a) Affiliate’s account access and marketing materials are deactivated; (b) Affiliate remains eligible for fees on Referrals that close and become Complete & PIF prior to termination; (c) Sections 3, 4, 8, 9, 11, and 12 survive termination.

11. Disclaimer & Limitation of Liability

The affiliate portal and program are provided on an “as is” and “as available” basis. SIHI makes no warranties, express or implied, regarding the program, the portal, or the accuracy of any analytics or earnings estimates displayed therein. To the maximum extent permitted by law, SIHI’s aggregate liability under this Agreement is limited to the total referral fees actually paid to Affiliate during the twelve (12) months preceding the event giving rise to the claim. In no event is SIHI liable for indirect, incidental, consequential, special, or punitive damages.

12. Modification

SIHI may revise this Agreement from time to time. Material revisions take effect upon posting of an updated version in the portal and, where practicable, advance notice of at least fourteen (14) days. Continued participation in the program after the effective date of a revision constitutes acceptance of the revised Agreement. The version of this Agreement that governs a given Referral is the version in effect when the Referral was submitted.

13. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State in which SIHI maintains its principal place of business, without regard to conflict-of-law principles. The parties agree first to attempt in good faith to resolve any dispute through informal discussion. Any unresolved dispute must be brought exclusively in the state or federal courts located in that State, and each party consents to the personal jurisdiction of those courts.

14. Entire Agreement

This Agreement, together with any policies referenced herein, constitutes the entire agreement between the parties regarding the Affiliate Program and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
